Terms & Conditions
These Terms & Conditions (the “Terms”) form a binding agreement between you and Fabric Square governing your access to and use of our website and business-management platform (the “Services”). By creating an account or using the Services, you agree to these Terms. Fabric Square is a sole proprietorship owned and operated by Semil Italiya.

1. Acceptance of Terms
By registering for, accessing or using the Services, you confirm that you accept these Terms and agree to comply with them. If you are entering into these Terms on behalf of a company or other organisation, you represent that you have the authority to bind that organisation, and “you” refers to that organisation. If you do not agree to these Terms, you must not use the Services.
2. Definitions
- “Services” means the Fabric Square website, applications, features and related support.
- “Customer” or “you” means the organisation or individual that registers for an account.
- “Authorised Users” means the individuals you permit to access the Services under your account, such as your employees or staff.
- “Customer Data” means the data you and your Authorised Users submit to or generate within the Services.
- “Subscription” means a paid plan that grants access to the Services for a billing cycle.
3. Eligibility and Account Registration
You must be at least 18 years of age and capable of forming a binding contract to use the Services. You agree to provide accurate, current and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use of your account.
4. Description of the Services
Fabric Square is a multi-tenant business-management and ERP platform for fabric, apparel and rental businesses. Depending on your plan, the Services may include human-resource and people management, payroll, leave and attendance, sales and invoicing, customers, measurement, production (stitching) workflows, purchase and purchase orders, suppliers, inventory, cash register, expenses, reporting and analytics, ticketing, WhatsApp notifications and AI-assisted features. We may add, modify or discontinue features from time to time.
5. Subscriptions, Trial and Billing
a. Plans and pricing
The Services are offered on subscription plans, currently a Standard plan (₹399 per month or ₹3,830 per year), a Pro plan (₹899 per month or ₹8,630 per year) and a Premium plan (₹1,399 per month or ₹13,430 per year). All prices are in Indian Rupees, with no hidden fees.
b. Optional business modules
A plan covers the core Services. Two business modules are optional and charged in addition to the plan, at the same price on every plan and on the same billing cycle: Sales & Purchase at ₹400 per month (Sales invoices, sales returns, purchases, purchase returns, purchase orders, suppliers and low-stock alerts.) and Tailoring at ₹200 per month (Customer measurements and stitching job tracking.). You choose your modules when you subscribe and may add or remove them later; the amount payable is shown to you before payment is taken, and a mid-cycle change is prorated against the unused remainder of the cycle you have paid for.
c. Free trial
New customers may receive a free trial of up to 14 days. The trial is offered once per organisation. At the end of the trial, continued use of the Services requires an active paid Subscription.
d. Billing and payment
Each billing cycle is charged as a one-time payment through our authorised payment gateway partner at the time you subscribe or renew. There is no recurring mandate or auto-debit authorisation on file — access continues for the billing cycle you have paid for, and you choose to pay again (or upgrade/downgrade) for each subsequent cycle.
e. Taxes
Stated prices are all-inclusive. You are responsible for providing accurate tax information (such as GSTIN) required for invoicing.
f. Price changes
We may change our fees or introduce new charges. We will provide reasonable prior notice of any change, which will take effect from your next billing cycle. Your continued use after the change takes effect constitutes acceptance of the new fees.
g. Failed payments
If a payment fails or is not completed, the corresponding billing cycle will not be activated. You may retry the payment at any time; we may suspend or restrict access to the Services until payment is received for the current cycle.
h. Subscription validity, renewal, expiry and restoration
Each Subscription is valid only for the billing cycle you have paid for — one month for a monthly plan, or twelve months for a yearly plan — measured from the date the cycle is activated. Subscriptions do not renew automatically: because there is no auto-debit mandate on file, you actively choose to pay again to renew for a further cycle. If a Subscription expires or lapses without renewal, paid features are suspended and access to them is restricted, but your Customer Data is retained and is not deleted for non-payment. As soon as you renew by completing payment for a new cycle, full access to your plan features is restored immediately.
i. Refunds and cancellation
Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.
6. Customer Responsibilities and Acceptable Use
You agree that you and your Authorised Users will:
- Use the Services only for lawful business purposes;
- Provide accurate data and obtain all consents and rights necessary to upload and process Customer Data, including personal data of your employees, customers and suppliers;
- Be solely responsible for the accuracy, quality and legality of Customer Data and the means by which you acquired it;
- Keep account credentials secure and not share them improperly;
- Not use the Services in a way that infringes the rights of others or violates any law, including data-protection, tax and labour laws;
- Not attempt to gain unauthorised access to the Services, interfere with their operation, or circumvent usage limits or security;
- Not copy, modify, reverse-engineer, resell or create derivative works of the Services except as permitted by law;
- Not upload malicious code or content that is unlawful, defamatory or harmful; and
- Use AI-assisted features responsibly and independently verify their output before relying on it.
7. Customer Data and Ownership
As between you and Fabric Square, you retain all rights in and ownership of your Customer Data. You grant us a limited, non-exclusive licence to host, process, transmit and display Customer Data solely to provide, maintain, secure and improve the Services and as otherwise described in our Privacy Policy. With respect to personal data within Customer Data, you act as the controller and we act as your processor, processing such data on your instructions. You are responsible for maintaining your own backups where appropriate, and you may export your data using available features during your Subscription.
8. Intellectual Property
The Services, including all software, design, text, graphics and trademarks (excluding Customer Data), are owned by Fabric Square or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms and timely payment, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during your Subscription. No other rights are granted.
9. Third-Party Services
The Services rely on third-party providers, including payment processing, messaging and AI providers. Your use of features that depend on such providers may also be subject to their terms. We are not responsible for the acts, omissions or availability of third-party services beyond our reasonable control.
10. AI Features Disclaimer
AI Assistant and AI Forecasting features generate outputs using automated models and may be inaccurate, incomplete or out of date. Such outputs are provided for convenience only and do not constitute professional, financial, legal, tax or accounting advice. You are solely responsible for reviewing and verifying any AI-generated output before relying on or acting upon it.
11. Service Availability and Support
We strive to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates or factors outside our control. We provide customer support through our ticketing system and the contact channels listed below.
12. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will meet all of your requirements or that any defects will be corrected.
13. Limitation of Liability
To the maximum extent permitted by law, Fabric Square and its directors, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to your use of the Services. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the total amount of subscription fees actually paid by you to Fabric Square for the Services during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
14. Indemnification
You agree to indemnify and hold harmless Fabric Square from and against any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Services in breach of these Terms, or your violation of any law or third-party right.
15. Suspension and Termination
You may cancel your Subscription at any time as described in our Refund & Cancellation Policy. We may suspend or terminate your access to the Services, in whole or in part, if you breach these Terms, fail to pay applicable fees, or use the Services in a manner that poses a security, legal or operational risk. Upon termination, your right to use the Services ceases. We may retain or delete Customer Data following termination in accordance with our Privacy Policy and applicable law; you are encouraged to export any data you require before your account is closed.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Subject to applicable law, the courts at Surat, Gujarat, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
17. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.
